Shop terms and conditions

1. Seller

The shop.adaraz.com shop is run by ADARAZ P.S.A., ul. Towarowa 23, 43-100 Tychy, Poland, entered in the National Court Register (KRS) under number 0001261520, VAT ID PL6463032324 ("Seller", "we").

2. Definitions

• Customer - a business (a sole trader, a company or another entity) buying in the shop in connection with its business.
• Business with consumer rights - a Customer who is a sole trader and for whom the contract is not of a professional nature, as follows from the scope of their business (Art. 7aa of the Polish Consumer Rights Act). They have the rights described in sections 8 and 10.
• Goods - the RAZ-RCP-1 reader and proximity cards and fobs.
• RCP-CLOUD - online access to time and attendance at basic.adaraz.com, as a monthly subscription or a 12- or 24-month licence.
• Order - the Customer's declaration made through the shop with a view to concluding a contract.

3. Who the shop is for

We sell only to businesses. A tax ID is required in the payment window and we issue the VAT invoice to the business. We do not sell to consumers, i.e. people buying for their own needs unrelated to a business.

All you need is an up-to-date browser with JavaScript enabled and an email address.

4. Ordering and concluding the contract

• You choose products and quantities and go to payment. In the payment window you enter your email, phone, company name, tax ID, billing address and, for Goods, the delivery address.
• While you pay, we hold the selected readers for you. If the payment does not go through, they go back on sale.
• The contract is concluded when the payment is confirmed. You receive a payment confirmation by email.
• One order can include up to 10 readers and up to 100 cards or fobs. For larger quantities write to contact@adaraz.com and we will prepare an offer.
• If, despite the hold, Goods run out (e.g. with simultaneous orders), we will contact you: we will ship them at a new date or, if you prefer, refund the full amount.

5. Prices and payments

• Prices are in Polish zloty net. VAT (23%) is added in the payment window, which shows the gross amount including delivery.
• Payments are handled by Stripe: card, BLIK and Przelewy24. The RCP-CLOUD monthly subscription is paid by card - later payments are charged to it automatically every month.
• We issue VAT invoices electronically and send them by email, also through the Polish National e-Invoice System (KSeF) where the law requires it. By buying you accept electronic invoices.

6. Delivery

• We ship only within Poland, by courier. Delivery costs PLN 20.49 gross per parcel, and a parcel holds up to 3 readers.
• Cards and fobs ordered together with a reader travel in its parcel at no extra cost. Ordered on their own, they travel in their own parcel.
• We usually ship within 2 business days of the payment being booked. Delivery usually takes 1-2 business days.
• Check the parcel on delivery. If it is damaged, write a damage report with the courier and let us know.

7. RCP-CLOUD

• We activate access on your basic.adaraz.com account once the payment is booked. If you do not have an account yet, we create one and send instructions by email.
• The monthly subscription renews automatically. You can cancel at any time by writing to contact@adaraz.com - it runs until the end of the paid month and is not renewed.
• A 12- or 24-month licence is paid in advance and expires after that time, without automatic renewal.
• The plan sets how many employees you can record (up to 30 or up to 100).
• The up-to-30 plan includes 50 text messages a month and the up-to-100 plan 150. When you approach the limit, we let you know and agree together on next steps. Extra messages (PLN 0.20 net each) are invoiced only after agreeing with you - nothing is charged automatically. Text messages can be switched off.
• We take care to keep the service available. We announce planned maintenance in advance whenever possible.
• Employee data and working time records you enter into RCP-CLOUD are processed on your behalf under a data processing agreement.
• You keep your login details confidential. The employer is responsible for keeping working time records in line with the law - the reader and RCP-CLOUD are tools that help with it.

8. 14-day returns

• You can return Goods without giving a reason within 14 days of receiving them. Every Customer has this right. A business with consumer rights also has it by law (right of withdrawal).
• To return Goods, write to contact@adaraz.com with the order number (you can use the template in section 9) and send the Goods back within 14 days of that message to: ADARAZ P.S.A., ul. Towarowa 23, 43-100 Tychy, Poland. You cover the cost of sending them back.
• Send the Goods back complete - with the power supply and the cards from the set. You are responsible for any reduction in value resulting from handling beyond what is needed to check that they work.
• We refund the price of the Goods and the cost of delivery to you (up to the cheapest delivery offered) within 14 days of receiving the Goods back, using the payment method you paid with. We issue a corrective invoice.
• You can cancel RCP-CLOUD within 14 days of purchase by writing to contact@adaraz.com. We then refund the full amount paid and switch off access.

9. Return statement template

You can paste it into an email - it is optional.

"To: ADARAZ P.S.A., ul. Towarowa 23, 43-100 Tychy, Poland, contact@adaraz.com. I hereby give notice that I withdraw from the contract of sale of the following goods: [products]. Order number: [AZ-...]. Received on: [date]. Company name and tax ID: [...]. Address: [...]. Date: [...]."

10. 2-year warranty

• The RAZ-RCP-1 reader, cards and fobs come with a 24-month warranty from the date of delivery. The guarantor is ADARAZ P.S.A. and the warranty applies in Poland.
• Report a fault to contact@adaraz.com: give the order number, describe the problem and, if you can, attach a photo or video. We can often help remotely, without shipping anything.
• If the device needs to be sent back, we will tell you how. If the fault is covered by the warranty, we pay for shipping.
• We will repair the device or replace it with a working one within 14 days of receiving it. If neither is possible, we will refund the price. The warranty is extended by the repair time.
• The warranty does not cover mechanical damage, liquid damage, power supply not in line with the instructions (other than USB-C 5 V / 2 A), modifications, repairs by others, or installing software other than what we provide.
• Statutory liability for defects (rękojmia) is excluded towards Customers who are not businesses with consumer rights (Art. 558 § 1 of the Polish Civil Code) - their rights follow from the warranty.
• A business with consumer rights also has rights in case of non-conformity of Goods with the contract under the Polish Consumer Rights Act. The warranty neither excludes nor limits them.

11. Complaints

Send complaints about an order, delivery or RCP-CLOUD to contact@adaraz.com. We reply within 14 days.

12. Liability

Towards Customers who are not businesses with consumer rights, our liability is limited to the price of the order concerned and excludes lost profits. This limitation does not apply to damage caused intentionally.

14. Final provisions

• Contracts are governed by Polish law.
• Disputes are settled by the court competent for the Seller's registered office or, for a business with consumer rights, by the court competent under general rules.
• We may change these terms. Orders placed before a change are governed by the terms in force on the order date. We notify RCP-CLOUD subscribers of changes by email at least 14 days in advance - if you do not agree, you can cancel before they take effect.
• The Polish version prevails. You can save or print these terms from this page at any time.
